Notice of EGM 2022
We welcome all members to attend the APHA Extraordinary General Meeting of Members on Friday 23rd September 2022 at 11:00 am (GMT+10). The meeting will be held on Zoom.
All members are invited to attend and vote. If you are unable to attend and wish to send a proxy from the membership this is within the rights of your membership. If you require a proxy to vote on your behalf we will require the following form completed.
The purpose of the meeting is to amend Clauses 25.4 Election of remaining Directors and 25.5 Officers of the company.
25.4 Election of remaining directors
(new clause) 25.4.3 All applicants for Director positions are required to complete a skills screening as part of the application process
(new clause) 25.4.4 The existing Board reserves the right to review and shortlist applicants as per the needs of the organisation
25.5 Officers of the company
(new clause) 25.5.3 The board reserves the right to appoint either from the board to the executive team, or seek external appointments for the following executive positions including Chairperson, Treasurer and Company Secretary. All other director positions to satisfy general Director requirements.
(new clause )25.5.4 Officer positions are reserved for individuals who possess appropriate prior external board or APHA board experience. Where these requirements cannot be met, the Board reserves the right to directly appoint Board members to these roles
The new clauses have been designed to enable external appointments to be made to ensure the coverage of appropriate skills on the board and in the executive team.
Note: In order for the EGM to proceed 10% of our members are required to attend either via video or phone conference as per our constitution.
